On April 9, 2019, the Board of Directors of News Corporation (the “Company”) amended and restated the Company’s Standards of Business Conduct (the “SOBC”). The SOBC was reorganized and rewritten in many sections to make it easier to read. For example, Alertline, a key resource for individuals to report concerns, is now more prominent. The Company also clarified, updated and/or enhanced certain provisions of the SOBC and provided additional guidance about various matters, such as by referencing specific Company policies where individuals can find additional guidance on certain topics addressed in the SOBC. Key substantive amendments reflect the following:

  • Enhanced discussion relating to protection of privacy of employees and new sections on respect for workers’ rights around the globe, protecting customer information and “final words” to conclude the SOBC;
  • Updates to the section on how to seek accommodations for individuals with disabilities;
  • Updates to the section discussing environmental, health and safety matters to address Company policies on sustainability;
  • Updates to the section relating to the use of technology to emphasize cyber security and address electronic communications;
  • Updates to the sections addressing business gifts and entertainment, avoiding corruption and bribery and conflicts of interests, which are designed to assist Company personnel in interpreting policies in these areas; and
  • Updates to the sections discussing protection of Company assets and information, complying with sanction laws and anti-boycott laws, engaging in political activities and lobbying as well as insider trading to reflect recent legal developments and to align with relevant Company policies on these matters.

In addition, at the same time, the Board of Directors of the Company also eliminated a separate Code of Ethics for the Chief Executive Officer and Senior Financial Officers (the “Ethics Code”) as the Ethics Code’s provisions that are required by applicable law and listing rules are addressed by, and covered in, the SOBC.
